Terms of Service
These Terms of Service (the “Terms”) govern your access to and use of NibraSec's software-as-a-service platform at nibrasec.com and related subdomains (the “Service”). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you accept on behalf of an organisation, you confirm you are authorised to bind it.
1. The Company
The Service is provided by NibraSec FZ-LLC, a free-zone company established in Dubai, United Arab Emirates [trade-licence / registration number to be inserted] (the “Company”, “we”).
2. The Service
NibraSec provides AI-driven compliance, governance, and cyber-risk tooling. The Service supports your compliance work but does not constitute legal advice, and its output does not substitute for professional legal or audit counsel. You remain responsible for decisions you make using the Service.
3. Acceptance and electronic agreement
You accept these Terms by an affirmative action (creating an account or clicking to accept). Under the UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services, electronic records and acceptances are legally valid and enforceable, and you agree to contract with us electronically.
4. Accounts and security
You must provide accurate information at sign-up and keep your credentials secure. Multi-factor authentication is mandatory. You are responsible for activity under your account.
5. Subscriptions, credits, and billing
Platform subscription and credit pricing are described at /pricing. Billing is handled by Paddle as merchant of record. The platform fee is recurring until cancelled. Credits are prepaid, consumed per agent run, and — except as required by applicable UAE law, including the Consumer Protection Law (Federal Law No. 15 of 2020) where it applies — are non-refundable. We may change pricing on reasonable prior notice.
6. Acceptable use
You agree to our Acceptable Use Policy. Violation may result in suspension or termination without refund.
7. Your data; data protection
You retain all rights to the data and content you submit. Our processing of Personal Data is governed by our Privacy Policy and, where we act as processor, our Data Processing Agreement, in accordance with the UAE Personal Data Protection Law (Federal Decree-Law No. 45 of 2021).
8. Intellectual property
We retain all rights in the Service, the agents, and the parts of agent outputs that are not derived from your input. You grant us a limited licence to process your inputs solely to provide the Service.
9. Disclaimers and limitation of liability
The Service is provided on an “as is” and “as available” basis to the maximum extent permitted by law. To the extent permitted by applicable UAE law, our total aggregate liability arising out of or relating to the Service is limited to the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim, and we are not liable for indirect or consequential loss. Nothing in these Terms excludes liability that cannot be excluded under UAE law.
10. Suspension and termination
You may cancel at any time; your subscription remains active until the end of the current billing period. We may suspend or terminate access for breach of these Terms or the Acceptable Use Policy.
11. Governing law and jurisdiction
These Terms are governed by the laws of the United Arab Emirates. The courts of the Emirate of Dubai, United Arab Emirates have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, without regard to conflict-of-laws principles [adjust to your free-zone forum or arbitration clause as advised by counsel].
12. Changes
We may update these Terms. Material changes will be notified by email and/or in-product at least 30 days before they take effect. Continued use after changes take effect constitutes acceptance.
